1. Agreement to Terms

By accessing, purchasing, installing, or integrating the EOTag smart electronic shelf labels, wireless gateways, or the HexOS cloud management dashboard, you agree to comply with and be bound by these Terms of Service. These terms constitute a legal agreement between your business entity and HexBytes. If you do not agree, you must not use or install our products.

2. Equipment Use & Installation

When deploying EOTag hardware in your physical retail stores, you agree to the following guidelines:

• Authorized Mounting: Tags should be mounted in secure retail fixtures and tracks. Rough handling that fractures e-ink screens or damages battery housing is not covered under general device warranties.
• Wireless Infrastructure: EOTag systems communicate over sub-GHz wireless channels. You are responsible for ensuring that your store networks do not maliciously jam or interfere with these certified frequencies.
• Firmware Integrity: You agree not to modify, reverse-engineer, decompile, or tamper with the onboard firmware of the ESL tags or gateway access points.

3. Cloud Console & User Accounts

Access to our centralized cloud management systems (HexOS platform) requires a valid account. You are responsible for maintaining the confidentiality of your API keys and administrative credentials. Any pricing synchronizations, template modifications, or tag updates executed under your credentials will be considered authorized actions by your company.

4. Service Level Agreements & Updates

HexBytes strives to maintain a 99.9% uptime for the cloud synchronization services. We reserve the right to deploy over-the-air (OTA) firmware updates to tags and gateways to improve security, power consumption, and features. Minor operational disruptions during scheduled update windows will be communicated to your integration team in advance.

5. Intellectual Property Rights

All intellectual property, including but not limited to the physical tag designs, display microcode, wireless communication protocols, proprietary web designs, software interfaces, trademarks (EOTag, HexBytes), and logos, are and remain the exclusive property of HexBytes. No licenses are granted except the limited right to operate the system for your internal business.

6. Limitation of Liability

To the maximum extent permitted by applicable law, HexBytes shall not be liable for any indirect, incidental, special, or consequential damages. This includes, without limitation, loss of retail revenue, incorrect shelf price displays, or inventory discrepancies resulting from the use, installation, or failure of our ESL tags or telemetry systems.

7. Governing Law

These terms and your relationship with HexBytes shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of these terms shall be resolved exclusively within the courts of New Delhi, India.
